General Terms and Conditions (GTC) of NDM Productions

1. Provider & Scope
These General Terms and Conditions (GTC) govern the contractual relationship between

Daniel Neumann Sole Proprietorship Nelkenstraße 15, 30974 Wennigsen, Germany Email: ndmproductions@outlook.com (hereinafter referred to as “Agency”) and the models (“Clients”) who use the services of the Agency.

These GTC apply to all contracts concluded between the Agency and the Model regarding OnlyFans management, chat services, social media marketing, and other management services for adult content (18+) platforms.

2. Contract Formation
A contract between the Agency and the Model is only considered concluded when a written contract has been drawn up and signed by both parties.

3. Services Provided by the Agency
The Agency agrees to provide the following services: Setting up and managing the OnlyFans account Optimizing subscription pricing and executing targeted discount campaigns Developing and managing marketing strategies for OnlyFans and social media Creating ad copy, layouts, and profile descriptions Setting up and optimizing automated messages & paywalls Community management and direct interaction with fans (chat management) Planning and assisting with photo & video uploads Tracking and analyzing fan behavior to increase revenue Managing and utilizing the "tip function" Providing guidelines for professional content creation The Agency guarantees the provision of these services but does not guarantee success in terms of revenue or audience growth. The Agency is authorized to use the Model’s content for marketing and promotional purposes.

4. Obligations of the Model
The Model agrees to: Provide the required content in the form of photos and videos. Work exclusively with the Agency for the duration of the contract. Not disclose any information about the collaboration or contract terms to third parties. Not work with any other management agency or account manager simultaneously. Regularly provide new content to support platform growth. Ensure that all content complies with OnlyFans' guidelines and that no third parties appear in photos or videos without their consent.

5. Compensation & Payment
The Agency receives a percentage-based revenue share from the Model’s earnings. Payments are processed monthly. The Model does not have to make advance payments or cover any upfront costs. Payments are made to the Model’s bank account, and the Model must transfer the agreed share to the Agency within three business days of receiving payment.

6. Termination & Contract End
The Model may terminate the contract at any time without notice. Upon termination, all social media accounts managed by the Agency will be deactivated. After termination, the Agency has no further obligations towards the Model.

7. Liability
The Agency assumes liability for legal issues arising from the content created. The Model’s data is handled with strict confidentiality. No unauthorized third parties will have access to the content or personal information. The Agency is not liable for any losses or damages caused by third parties or security breaches on OnlyFans unless due to gross negligence.

8. Confidentiality & Non-Disclosure
The Model agrees to maintain confidentiality regarding all contract details. Any disclosure of information about the collaboration with the Agency to third parties is strictly prohibited.

9. Data Protection
The Model agrees that the Agency may store and process personal data for the purpose of executing the contract. Upon termination, data will be deleted according to legal retention periods.

10. Final Provisions
German law applies to this contract. The place of jurisdiction is Hanover, Germany. If any provision of these GTC is found to be invalid, the remaining provisions shall remain unaffected (Severability Clause). Effective Date: 05.02.2025
